2.2 As a sworn translator, the Translator is subject to the Council of Registration of Sworn Translators established under section 3 of Law 45(I)/2019, which is chaired by the Director of the Press and Information Office.

3.1 These Terms apply to every Quotation issued and every Contract concluded by the Translator, as well as to the use of the Website. They shall prevail over any terms and conditions of the Client, unless otherwise agreed in writing.

3.2 The version of these Terms in force on the date of the Quotation shall apply to the Contract concerned.

3.3 Provisions which apply only to Consumers are expressly identified as such. Nothing in these Terms shall exclude or restrict the rights which Consumers enjoy under mandatory law, including the Consumer Protection Law of 2021 (Law 112(I)/2021).

4.1 We provide written translation services between Greek, English, French and German, namely:

(a) Sworn Translations, always between Greek and English, French or German. Under section 15 of Law 45(I)/2019, Sworn Translations are admitted as certified translations by the courts and the authorities of the Republic of Cyprus;

(b) Certified Translations, in any combination of Greek, English, French and German; and

(c) other translation services, as described on the Website.

4.2 We do not provide interpreting services.

4.3 Save as provided in clause 4.1(a), the acceptance of a translation by any court, authority or other body, whether in the Republic of Cyprus or abroad, is determined by the receiving body. The Client is responsible for ascertaining in advance the requirements of the receiving body, including the type of translation required and any apostille or legalisation of the original document.

4.4 We may decline any request at our discretion, in particular where we consider that we cannot perform the Services competently or within the time requested.

5.1 Prices published on the Website, and estimates generated by the price calculator on the Website, are indicative only and do not constitute an offer. The fee for each assignment depends on the volume, subject matter, format and deadline of the documents concerned and is set out in a Quotation, which we issue after reviewing the documents.

5.2 Quotations are issued in writing, normally by email, and remain valid for thirty (30) days from their date, unless otherwise stated therein.

5.3 The Contract is concluded when the Client accepts the Quotation in writing, including by email. We shall begin work once we have received all documents to be translated and any deposit required under clause 9.3.

5.4 By accepting a Quotation, the Client:

(a) accepts these Terms;

(b) where the Client is a Consumer, expressly requests that performance of the Services begin immediately, within the withdrawal period, and acknowledges that he or she will lose the right of withdrawal once the Services have been fully performed, in accordance with Section 6; and

(c) gives explicit consent to the processing of any special categories of personal data contained in the documents, solely for the purpose of their translation, as set out in our Privacy Policy.

5.5 We shall confirm the conclusion of the Contract to the Client by email, including the request and acknowledgement referred to in clause 5.4(b).

6.1 Where you are a Consumer and the Contract is concluded at a distance, including by email, telephone, WhatsApp or through the Website, you have the right to withdraw from the Contract within fourteen (14) days without giving any reason, in accordance with Articles 20 to 27 of Law 112(I)/2021. The withdrawal period expires fourteen (14) days after the day on which the Contract is concluded.

6.2 To exercise the right of withdrawal, you must inform us of your decision to withdraw by an unequivocal statement, sent by email to info@metafrastis.com.cy or by post to the address in clause 2.1. You may use the model withdrawal form set out in the Annex, but this is not obligatory. It is sufficient that you send your statement before the withdrawal period expires.

6.3 If you withdraw from the Contract, we shall reimburse all payments received from you without undue delay and in any event no later than fourteen (14) days from the day on which we are informed of your decision, using the same means of payment as you used, unless expressly agreed otherwise. You shall not incur any fees as a result of such reimbursement.

6.4 Where you have requested that performance of the Services begin during the withdrawal period, in accordance with clause 5.4(b), and you subsequently withdraw, you shall pay us an amount proportionate to the Services provided until you informed us of your withdrawal, in comparison with the full coverage of the Contract.

6.5 You shall lose the right of withdrawal once the Services have been fully performed, where performance began with your prior express request and your acknowledgement that you would lose that right once the Contract had been fully performed by us.

6.6 The right of withdrawal does not apply to Contracts concluded in person at our office, or to Clients who are not Consumers.

7.1 The Client shall:

(a) provide complete and legible copies of all documents to be translated;

(b) where a Sworn Translation or a Certified Translation of an official document is requested, present the original document for inspection, either in person at our office in Limassol, by ACS Courier or, upon request, through Box Now. For other texts, a scanned copy suffices;

(c) provide the correct spelling of all names, as shown in the Client’s passport or identity card, together with any other information necessary for the accurate performance of the Services; and

(d) inform us of the intended use of the translation, the receiving body and any deadline.

7.2 The Client warrants that the documents submitted are authentic, that they are lawfully in the Client’s possession and that the Client is entitled to disclose any personal data of third parties contained therein.

7.3 Under section 12(4)(c) of Law 45(I)/2019, we are required to inform the competent authorities of any alteration or forgery of a document, or of any unlawful act, which comes to our attention in the performance of our duties. We may refuse to translate or certify any document which appears to have been altered or forged and may terminate the Contract with immediate effect.

7.4 We translate the content of the source document as it stands. We are not responsible for errors, omissions or illegible passages in the source document.

8.1 The Translator performs the Services personally, with reasonable skill and care and, in the case of Sworn Translations, in accordance with Law 45(I)/2019 and the technical specifications set by the Council of Registration of Sworn Translators.

8.2 The delivery time stated in the Quotation is an estimate. It runs from the latest of the acceptance of the Quotation, the receipt of all documents and, where required, of the originals, and the receipt of any deposit. Express or same-day delivery is subject to availability and to an additional charge stated in the Quotation.

8.3 Translations are delivered by the method agreed with the Client: collection in person at our office, delivery by ACS Courier, DHL, Akis Express, or any other delivery service, or delivery to a Box Now or ACS or other parcel locker, or email. Courier and parcel locker charges are borne by the Client, unless otherwise stated in the Quotation.

8.4 We shall not be responsible for delays caused by courier or postal services, or by the Client’s failure to provide documents, originals, information or payment in good time.

9.1 The fee for the Services is set out in the Quotation. Quotations addressed to everyone state the total price inclusive of VAT.

9.2 Fees for Sworn Translations shall not exceed the maximum rates set out in the list of indicative charges prepared by the Council of Registration of Sworn Translators and published annually in the Official Gazette of the Republic under section 19 of Law 45(I)/2019.

9.3 Unless otherwise stated in the Quotation, payment is due upon completion of the Services, on delivery, in cash, by bank transfer or through Revolut. We may require a deposit of twenty per cent (20%) or more of the fee before beginning work, in which case the amount of the deposit is stated in the Quotation.

9.4 We issue an invoice and a payment receipt for each translation, in accordance with section 19(3) of Law 45(I)/2019.

9.5 Any charges imposed by the Client’s bank or payment service provider are borne by the Client. We may retain the translation until the fee has been paid in full.

10.1 The Client should check the translation upon receipt, in particular the spelling of names, dates and numbers, and report any error by email to info@metafrastis.com.cy.

10.2 We shall correct any error attributable to us and re-issue the translation free of charge within a reasonable time. Changes requested after delivery which do not correct an error on our part may be charged in accordance with a new Quotation.

10.3 Complaints may be submitted by email to info@metafrastis.com.cy. We shall acknowledge each complaint and respond in writing within fourteen (14) days of its receipt.

10.4 Complaints concerning a Sworn Translation may also be submitted to the Council of Registration of Sworn Translators under section 22 of Law 45(I)/2019, which may also carry out quality controls of translations under section 16 of that Law. Complaints concerning an incident which occurred more than one (1) year before their submission may be rejected under section 22(6)(b) of that Law.

11.1 Our total liability arising out of or in connection with a Contract, whether in contract, tort or otherwise, shall not exceed the fee paid for the translation concerned.

11.2 The correction and free re-issue of the translation under clause 10.2 is the Client’s primary remedy for any error in a translation.

11.3 We shall not be liable for:

(a) errors, omissions or illegible passages in the source document, or inaccurate information provided by the Client;

(b) the decision of any court, authority or other body to accept or reject a translation, or the requirements of the receiving body, including any apostille or legalisation;

(c) delays caused by courier or postal services, or by the Client;

(d) the use of a translation for a purpose other than that notified to us; or

(e) any indirect or consequential loss, including loss of profit or of opportunity.

11.4 Nothing in these Terms shall exclude or limit our liability for fraud, wilful misconduct or gross negligence, for death or personal injury caused by negligence, or for any other liability which cannot be excluded or limited under applicable law, nor shall it affect the statutory rights of Consumers.

12.1 We treat all information and documents received in the performance of the Services in the strictest confidence, in accordance with section 13 of Law 45(I)/2019, save for information which must be notified to the competent authorities by law.

12.2 We do not process documents entrusted to us by means of machine translation, computer-assisted translation software or artificial intelligence tools.

12.3 Personal data are processed in accordance with our Privacy Policy.

13.1 We shall not be liable for any delay in or failure of performance caused by events beyond our reasonable control, including natural disasters, epidemics, war, strikes, failures of power or telecommunications networks, and acts of public authorities. We shall inform the Client of any such event without delay.

13.2 Where such an event delays performance by more than thirty (30) days, either party may terminate the Contract by written notice. In that case we shall refund any amount paid for Services not yet performed.

14.1 The content of the Website, including its texts, graphics, logos and design, is protected by intellectual property rights belonging to us or to our licensors. It may not be reproduced, distributed or used for commercial purposes without our prior written consent, save for viewing and printing for personal use.

14.2 Information on the Website, including prices and delivery times, is provided for general information only. We endeavour to keep it accurate and up to date, but give no warranty to that effect.

14.3 The Website may contain links to third-party websites. We have no control over their content and accept no responsibility for it.

15.1 These Terms and every Contract shall be governed by the laws of the Republic of Cyprus.

15.2 Subject to clause 15.3, the courts of the Republic of Cyprus, and in particular the District Court of Limassol, shall have exclusive jurisdiction over any dispute arising out of or in connection with these Terms or a Contract.

15.3 Where the Client is a Consumer habitually resident in another Member State of the European Union:

(a) the choice of Cypriot law shall not deprive the Consumer of the protection afforded by the mandatory provisions of the law of his or her country of habitual residence, in accordance with Article 6(2) of Regulation (EC) No 593/2008 (Rome I); and

(b) the Consumer may bring proceedings either in the courts of the Republic of Cyprus or in the courts of the place where he or she is domiciled, while we may bring proceedings against the Consumer only in the courts of the Member State in which the Consumer is domiciled, in accordance with Article 18 of Regulation (EU) No 1215/2012 (Brussels I bis).

16.1 We may amend these Terms from time to time. Amended Terms shall be published on the Website and shall apply to Contracts concluded after their publication.

16.2 Where any provision of these Terms is held invalid or unenforceable, the remaining provisions shall continue in full force and effect.

16.3 These Terms, the Quotation and the Client’s acceptance constitute the entire agreement between the parties. In the event of conflict, the Quotation shall prevail over these Terms.

16.4 No failure or delay in exercising any right under these Terms shall operate as a waiver of that right.

16.5 These Terms are drawn up in English. Any translation is provided for information only, and the English version shall prevail.
